This Privacy Policy describes how OpenSpindle, LLC ("OpenSpindle," "we," "us," or "our") collects, uses, discloses, and protects information about you when you access or use our website, applications, and related services (collectively, the "Service").

By using the Service, you agree to the collection and use of information in accordance with this Privacy Policy. If you do not agree, you should not use the Service.

We collect information that you provide directly to us, information we obtain automatically when you use the Service, and information from third parties.

1.1 Information You Provide to Us

We collect information you provide when you create an account, submit RFQs, communicate with us, or otherwise use the Service, including:

  • Account and profile information: Name, email address, phone number, company name, role or title, postal or billing address, and profile photo or avatar.
  • RFQ and project information: CAD files, cut files, and other technical files you upload; RFQ details such as part descriptions, tolerances, materials, processes, quantity, due dates, required delivery dates, shipping address, budget, and any open‑text description of your project.
  • Media and attachments: Photos and videos of parts, assemblies, equipment, or other project‑related content that you upload in connection with RFQs, quotes, supplier profiles, or reviews.
  • Communications and content: Messages you send through the Service (for example, between customers and suppliers), reviews or ratings you post, and any other content you submit.
  • Support and feedback: Information you provide when you contact us for support, respond to surveys, or otherwise interact with us.

1.2 Information We Collect Automatically

When you access or use the Service, we automatically collect certain information, including:

  • Usage information: Pages or screens viewed, features used, time spent, links clicked, RFQs or profiles viewed, and other activity on the Service.
  • Device and log information: IP address, browser type, device identifiers, operating system, hardware settings, and access times.
  • Cookies and similar technologies: We use cookies, web beacons, and similar technologies to remember your preferences, maintain sessions, analyze how the Service is used, and support advertising and marketing (as described below).

1.3 Information from Third Parties

We may receive information about you from third parties, such as:

  • Payment processors: Limited payment‑related information (e.g., tokenized payment method identifiers, last four digits of a card, card type, and payment status) from our payment service providers; we do not collect or store full payment card numbers.
  • Advertising and analytics partners: Aggregate or de‑identified information about how users interact with our ads and content on third‑party sites and services.
  • Other users: Information that other users provide about you (for example, when a team member invites you to an account, or when a customer includes your shop information in a review).

2. How We Use Information

We use the information we collect for the following purposes:

2.1 Providing and Improving the Service

  • Operating, maintaining, and securing the Service.
  • Enabling you to create and manage your account and profile.
  • Allowing customers to submit RFQs and suppliers to view RFQs, submit quotes, and fulfill projects.
  • Using CAD files, cut files, photos, and videos to facilitate quoting, manufacturing, and project management.
  • Personalizing your experience and recommending relevant RFQs, suppliers, or content.

2.2 Communications

  • Facilitating communications between customers and suppliers through the Service.
  • Sending transactional messages (e.g., account confirmations, RFQ and quote notifications, project updates, payment notices).
  • Responding to your requests, questions, and support inquiries.

2.3 Analytics and Product Development

  • Monitoring and analyzing usage, performance, and trends to improve the Service.
  • Developing new features, services, and offerings.
  • Training and tuning internal models (including AI‑based features) to improve matching, quoting assistance, and content quality, using aggregated or de‑identified data where possible.

2.4 Marketing and Advertising

  • Sending you marketing and promotional communications, consistent with your preferences and applicable law.
  • Showing ads for OpenSpindle on third‑party properties (such as Meta, Google, and other advertising platforms) and measuring the effectiveness of our campaigns.
  • Using cookies and similar technologies on non‑logged‑in sessions to support advertising and analytics.

You can opt out of certain marketing communications at any time, as described in Section 7.

2.5 Safety, Security, and Legal Compliance

  • Protecting the integrity and security of the Service, including detecting, preventing, and responding to fraud, abuse, and unauthorized access.
  • Enforcing our Terms of Service, Supplier Terms, and other policies.
  • Complying with legal obligations, responding to lawful requests from authorities, and resolving disputes.

2.6 Future Identity Verification and KYC

We may in the future request or collect additional information for identity verification, fraud prevention, or compliance purposes (for example, government IDs or business registration documents), particularly for certain payouts or higher‑risk activities. If we do so, we will use and protect such information in accordance with this Privacy Policy and any additional notices or consents provided at the time of collection.

3. How We Share Information

We share information about you as described below or as otherwise disclosed at the time of collection.

3.1 Sharing Between Users

  • Customers and Suppliers: When you submit an RFQ, we share relevant RFQ and project information, including attached files and media, with suppliers who are eligible to view and respond to that RFQ. When you submit a quote as a supplier, we share relevant supplier profile and quote information with the customer.
  • Reviews and public content: If you post reviews, ratings, or other content intended to be public, we may display that content, along with your name or profile information, to other users of the Service.

3.2 Service Providers and Partners

We may share information with third‑party vendors and service providers that perform services on our behalf, such as:

  • Hosting, infrastructure, and storage providers.
  • Payment processors and financial services providers.
  • Analytics and advertising partners.
  • Customer support tools and communication platforms.
  • Security and fraud prevention providers.

These service providers are authorized to use your information only as necessary to provide services to us or as required by law.

3.3 Advertising and Analytics Partners

We use third‑party analytics and advertising partners (such as Google and Meta) to help us understand how the Service is used and to deliver and measure online advertising. These partners may set cookies and similar technologies on our site and collect information about your online activities over time and across different services.

Where required by law, we will obtain your consent before placing non‑essential cookies or similar technologies on your device.

3.4 Legal, Safety, and Protection

We may disclose information about you if we believe that such disclosure is reasonably necessary to:

  • Keep you signed in and maintain your session.
  • Remember your preferences and settings.
  • Analyze how the Service is used and improve performance.
  • Support advertising and marketing on OpenSpindle and third‑party sites.

You can control cookies through your browser settings and, in some cases, through cookie management tools we provide. If you disable or reject cookies, some features of the Service may not function properly.

Where required by law, we will present you with a cookie banner or similar mechanism to obtain your consent for certain types of cookies (such as advertising or analytics cookies) before they are placed on your device.

We retain information for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, including to provide the Service, comply with our legal obligations, resolve disputes, and enforce our agreements.

Retention periods may vary depending on the type of data and the context in which it was collected, but in general:

  • Account information is retained while your account is active and for a period thereafter as required or permitted by law.
  • RFQ and project data (including CAD files and related attachments) are retained while the RFQ or project is active and for a reasonable period thereafter for record‑keeping, dispute resolution, and Service improvement, unless you request deletion where applicable and we are not required to retain it.
  • Log and analytics data may be retained for shorter periods, typically aggregated or anonymized over time.

6. Your Choices and Rights

Depending on your location and applicable law, you may have certain rights regarding your information.

6.1 Account and Communication Preferences

  • You can review and update certain account information (such as your name, email, phone number, and profile details) by logging into your account.
  • You may opt out of marketing emails by following the unsubscribe instructions in those emails or by contacting us; you may still receive transactional or service‑related communications.

6.2 Rights Under Data Protection Laws

Depending on your jurisdiction, you may have rights to:

  • Access the personal information we hold about you.
  • Request correction of inaccurate information.
  • Request deletion of certain information.
  • Object to or restrict certain processing.
  • Request portability of certain information.
  • Withdraw consent where processing is based on consent.

To exercise any of these rights, you can contact us using the information in Section 12. We may request additional information to verify your identity before responding to your request, and we may deny or limit requests as permitted by law.

7. Advertising and Do‑Not‑Track

We may work with third‑party advertising partners that collect information about your online activities over time and across different websites and services to provide you with interest‑based advertising.

You can:

  • Adjust your browser or device settings to limit or block cookies.
  • Use tools provided by major advertising platforms to manage your ad preferences (e.g., Google Ads settings, Meta ad preferences).
  • Where available, use industry opt‑out tools such as the Network Advertising Initiative (NAI) or Digital Advertising Alliance (DAA) opt‑out pages.

At this time, we do not respond to browser "Do Not Track" signals, as no consistent industry standard for such responses has been adopted.

8. Data Security

We use reasonable technical and organizational measures designed to protect the information we collect from loss, misuse, unauthorized access, disclosure, alteration, and destruction. These measures include, where appropriate, encryption in transit, access controls, and internal policies and procedures.

However, no method of transmission over the internet or method of electronic storage is completely secure, and we cannot guarantee absolute security.

9. Children's Privacy

The Service is not directed to children, and we do not knowingly collect personal information from children under the age of 16. If we become aware that we have collected such information, we will take steps to delete it as required by applicable law.

10. International Users

The Service is operated from the United States, and information we collect may be transferred to, stored in, and processed in the United States and other countries that may have different data protection laws than your country of residence.

If you are located outside the United States, by using the Service you acknowledge that your information may be processed in jurisdictions where the laws may not provide the same level of protection as those in your home country, and you consent to such transfers as permitted by applicable law.

11. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. If we make material changes, we will update the "Last Updated" date at the top of this Privacy Policy and, where appropriate, provide additional notice (such as by email or through the Service).

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Privacy Policy.
